Welcome to Ace Bark Ads (“Ace Bark Ads,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our website, assessment tools, publications, applications, media, and related services, including the Ace Bark Ads homepage, Narrative Assessment flow, Brand Therapy publication, BriefMaster AI, Narrative Pilot, and any related content, products, or services we make available (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent that you have the legal authority to enter into these Terms.

2. Services Overview

Ace Bark Ads provides narrative strategy, assessment tools, educational resources, creative development tools, cinematic media services, and related offerings. Some Services are informational, some are interactive, and some may require separate agreements, payment terms, project scopes, or onboarding documents.

Your use of a free or public-facing portion of the Services does not guarantee acceptance into any paid service, pilot, partnership, or production engagement.

3. No Professional Advice

Content made available through the Services is provided for general informational and educational purposes only unless expressly stated otherwise in a separate written agreement. Nothing on the Services constitutes legal, financial, tax, investment, medical, or other regulated professional advice.

4. Account and Access

Some parts of the Services may require you to submit information, create an account, or complete an assessment flow. You agree to provide accurate information and to keep it current.

You are responsible for:

  • maintaining the confidentiality of your account credentials
  • all activity occurring under your account
  • notifying us promptly of any unauthorized access or suspected breach

We may suspend or terminate access if we believe your account is being used unlawfully, deceptively, or in violation of these Terms.

5. Acceptable Use

You agree not to:

  • use the Services for unlawful, fraudulent, or deceptive purposes
  • interfere with or disrupt the Services or related systems
  • attempt to gain unauthorized access to accounts, data, or infrastructure
  • reverse engineer, scrape, copy, or harvest content or data from the Services except as permitted by law
  • upload or submit material that infringes another party’s rights
  • use the Services to create, distribute, or promote harmful, abusive, defamatory, infringing, or unlawful content
  • misuse assessments, publications, or tools in a way that misrepresents Ace Bark Ads, its outputs, or its recommendations

6. Assessments and Recommendations

The Narrative Assessment and related tools are intended to provide guided informational recommendations based on submitted responses. These outputs are directional only and do not constitute guarantees, binding service commitments, or professional conclusions.

We may revise, refine, suspend, or discontinue assessments, routing logic, categories, outputs, or recommendation structures at any time.

7. Publications, Educational Content, and Brand Therapy

Brand Therapy and related publications, workshops, articles, series content, and learning resources are provided for informational and educational use. Access to publications or educational materials does not create a client relationship unless separately agreed in writing.

8. BriefMaster AI and Other Creative Tools

BriefMaster AI and similar tools are intended to support pre-production, creative structuring, and concept development. Outputs may require human review, revision, and production planning. We do not guarantee that any generated or structured output is complete, production-ready, legally cleared, or suitable for any particular purpose without further review.

9. Narrative Pilot and Paid Services

Certain Services, including the Narrative Pilot and production engagements, may require a separate proposal, scope of work, agreement, payment terms, or onboarding process. In the event of a conflict between these Terms and a signed service agreement, the signed service agreement will control for that specific engagement.

10. User Submissions

If you submit content, including text, images, music, scripts, concepts, brand materials, or project information (“User Materials”), you represent that:

  • you own the materials or have the right to submit them
  • your submission does not infringe the rights of any third party
  • your submission complies with these Terms and applicable law

You retain ownership of your User Materials, subject to the rights you grant below.

By submitting User Materials through the Services, you grant Ace Bark Ads a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, and use those materials solely as needed to operate, evaluate, provide, improve, and support the Services, including assessments, project scoping, content development, production preparation, and client communications.

We do not claim ownership of your User Materials except as expressly stated in a separate written agreement.

11. Intellectual Property

The Services, including site design, branding, text, layout, graphics, logos, videos, publications, assessment flows, platform structure, software, and other materials provided by Ace Bark Ads, are owned by or licensed to Ace Bark Ads and are protected by intellectual property and other applicable laws.

Except as expressly permitted, you may not copy, reproduce, distribute, modify, republish, publicly display, create derivative works from, or commercially exploit any portion of the Services without our prior written permission.

12. AI, Creative Outputs, and Media Rights

Where the Services involve AI-assisted workflows, cinematic development, or creative outputs, ownership, usage rights, license scope, delivery rights, approvals, revisions, and commercial use rights will be governed by the applicable project agreement, proposal, or statement of work.

Absent a separate written agreement, no implied transfer of ownership, exclusivity, commercial license, or production-right grant is created solely by accessing the Services or receiving an assessment result.

13. Third-Party Services and Links

The Services may contain links to third-party websites, tools, video platforms, payment providers, publications, or services. We do not control and are not responsible for third-party content, policies, availability, or practices.

Your use of third-party services is governed by their own terms and policies.

14. Payments and Refunds

If you purchase a paid Service, the applicable pricing, billing terms, cancellation terms, and refund terms will be stated at checkout or in a separate agreement. Unless otherwise stated in writing, fees are non-refundable once work has begun or access has been granted.

15. Testimonials, Case Studies, and Examples

Any examples, project descriptions, media samples, case studies, or testimonials on the Services are illustrative only. They do not guarantee that you will achieve any specific result.

16. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACE BARK ADS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that:

  • the Services will be uninterrupted, secure, or error-free
  • assessments or outputs will be accurate, complete, or suitable for your needs
  • any defects will be corrected
  • the Services will always be available

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACE BARK ADS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO ACE BARK ADS FOR THE APPLICABLE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR
  • ONE HUNDRED U.S. DOLLARS (US $100).

18. Indemnification

You agree to defend, indemnify, and hold harmless Ace Bark Ads and its officers, directors, employees, contractors, affiliates, and licensors from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your use of the Services
  • your violation of these Terms
  • your User Materials
  • your violation of any rights of a third party

19. Termination

We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, created risk for us or others, or used the Services improperly.

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute provisions.

20. Privacy

Your use of the Services is also subject to our Privacy Policy, which is incorporated by reference into these Terms.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated version with a revised “Last Updated” date. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

Because the FTC has challenged deceptive or unfair changes to privacy-related promises, any updates to your public-facing policies should be handled transparently and consistently.

22. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

23. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Los Angeles,California, and you consent to their jurisdiction and venue.
